General Terms of Service
Data Tiles Ltd · Last updated: 20 October 2026
1. About These Terms
These General Terms of Service ("Terms") govern access to and use of the websites, software, applications, documentation and related services made available by Data Tiles Ltd ("Data Tiles", "we", "our" or "us"), including Latttice, our Data Product Workbench, Lenz, our AI Factory, and other products and services we may introduce in the future (together, the "Services").
Latttice and Lenz are independently purchasable products licensed under separate negotiated licence agreements. A Customer may purchase either product without purchasing the other; a licence for one does not automatically include the other. The relevant negotiated agreement identifies the licensed software and applicable conditions. Common Customer Hosted Software Licence Agreement terms may apply to either product where agreed, and the general company-wide framework may cover future products where applicable.
If you use the Services on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.
2. Relationship to Other Agreements
Use of Latttice, Lenz and other Data Tiles software by customers and partners is generally governed by a separately agreed software licence, order form, partner agreement or other written agreement (an "Applicable Agreement"), including a Customer Hosted Software Licence Agreement where agreed. Where a customer contracts through an authorised Data Tiles partner, the relevant written agreements identify the contracting parties and their implementation and support responsibilities; these Terms do not themselves make Data Tiles a party to every partner-customer contract or authorise a partner to bind Data Tiles to additional commitments.
If a separately negotiated and signed agreement governing the relevant Services (an "Applicable Agreement") conflicts with these standard terms, the Applicable Agreement governs to the extent of the conflict, subject only to exceptions expressly agreed in that signed agreement. These standard terms apply only where validly agreed or incorporated; publication on a website alone does not establish customer acceptance.
Our Privacy Policy and Acceptable Use Policy also apply. A Data Processing Agreement applies only where and to the extent Data Tiles actually processes personal data on the customer's behalf and applicable law requires it, with the required processing terms separately agreed before such processing begins. Customer-hosted software licensing alone does not establish that processing role or require a Data Processing Agreement.
3. Definitions
"You" or "your" means the individual or organisation accessing or using the Services.
"Customer" means an organisation that has entered into an Applicable Agreement with Data Tiles or an authorised partner.
"Customer Data" means data, metadata, content and information that you or your users upload, connect or process through the Services, including data belonging to your clients or other third parties that you have the necessary lawful authority, permissions and contractual rights to access or process. This definition does not transfer ownership of third-party data.
"Outputs" means content, insights, recommendations or other results generated through automated or AI-assisted features of the Services.
4. Using the Services
Some Services may require an account. You agree to provide accurate information and keep your credentials secure and confidential. You are responsible for activity under your account.
You must use the Services lawfully, in accordance with these Terms and our Acceptable Use Policy. You must not misuse the Services, interfere with their operation or attempt to gain unauthorised access to systems, accounts or data.
We may modify, update or discontinue features of the Services. Where reasonably practical, we will provide notice of material changes, subject to any Applicable Agreement.
Latttice and Lenz are containerized applications deployed into customer-controlled environments using single-click deployment. Neither is currently offered as Data Tiles-hosted SaaS. Customers provision, operate and maintain their environments and are responsible for infrastructure security, updates, backups and operational monitoring.
Customer trials and partner sandpits remain available subject to applicable written terms. Some installations use expiry keys within customer-controlled environments. Availability does not itself create a trial entitlement or extend the agreed licence term.
5. Intellectual Property
All intellectual property rights in the Services, including software, interfaces, branding, documentation and related materials, are owned by Data Tiles Ltd or its licensors.
Nothing in these Terms transfers ownership of the Services or any underlying intellectual property to you. Any licence to use Data Tiles software is granted under the relevant Applicable Agreement.
Authorised access to or processing of client or other third-party data using the Customer’s own licensed installation does not grant rights to install or deploy the software in client or other third-party environments, distribute or sublicense it, give clients independent access to operate the software itself, or establish separate client deployments under an existing licence. Any such rights require express authorisation under an appropriate separate written licensing arrangement with Data Tiles.
Customer Data and customer-created content are distinct from Data Tiles technology. Customers retain their rights in data-product definitions, configurations, agent instructions, workflows and other content they create, to the extent those rights arise under applicable law or the Applicable Agreement and subject to third-party rights. Configuring or using the Software does not transfer ownership of Data Tiles software, source code, algorithms, models, interfaces, documentation or other underlying technology. Where customer-created content includes Data Tiles or third-party materials, rights in those materials remain with their respective owners and use remains subject to the applicable licence.
Outputs are distinct from the underlying Software and from customer-authored configurations. Customers retain any rights they hold in Outputs under applicable law or the Applicable Agreement, subject to third-party rights; no ownership of every AI-generated result or transfer of Data Tiles technology is presumed. Data Tiles acquires no ownership of Customer Data or customer-created content merely because it is used with the Software, and no general right to use that data, content or customer-owned Outputs for its own model training or other independent purposes is granted.
6. Customer Data
You retain ownership and control of Customer Data, including data and metadata, subject to applicable third-party rights. Data Tiles does not claim ownership of Customer Data, and all rights, title and interest in it remain with you or your licensors.
Data Tiles does not access customer data or customer environments during normal operations or support, and does not ordinarily receive, store or process private Customer Data through licensing, training, guidance or normal support. Processing by Latttice, Lenz or other customer-hosted software within customer-controlled systems is distinct from access to or processing by Data Tiles itself. Use of the software does not by itself grant Data Tiles permission to process Customer Data.
Data Tiles does not access customer environments or private Customer Data for standard support. A request for support does not by itself authorise Data Tiles to access Customer Data or customer systems. Any exceptional access must be separately requested by Data Tiles, expressly authorised by the customer in writing and governed by appropriate written legal, privacy and security arrangements agreed before access occurs, and limited to what is reasonably necessary for the agreed purpose. Any required Data Processing Agreement applies only as described in section 2.
You are responsible for ensuring that you have the necessary lawful authority, permissions and contractual rights to access, connect to, process, analyse and work with Customer Data, including data belonging to your clients or other third parties, using your own authorised, customer-controlled licensed installation within the scope of the Applicable Agreement. An authorised connection to data hosted in a client’s or other third party’s environment is not installation or deployment of the software in that environment and does not grant the onward software rights described in section 5.
7. Automated Processing and AI-Generated Outputs
The Services may include features that use automation, analytics, artificial intelligence or machine learning to help users analyse data, generate insights or support decision-making.
AI models used by Latttice and Lenz are hosted within the Customer’s environment. Neither product sends information to external AI model providers as part of the current architecture, and neither product uses Customer Data to train AI models.
Outputs are generated to assist you and may be inaccurate or incomplete. You remain responsible for reviewing and validating Outputs, and for deciding whether and how to rely on them. Customers determine the actions their Lenz agents may perform and configure the relevant permissions and governance arrangements. Accountability remains with the Customer; this does not imply mandatory human approval of every individual agent action.
Data Tiles does not guarantee the accuracy, completeness or reliability of Outputs.
Latttice provides role-based access control (RBAC), attribute-based access control (ABAC), fine-grained access controls, data sensitivity controls and audit logging. Its governance capabilities operate at build time and runtime, but the Customer is responsible for configuring and applying its policies. These controls are not automatically configured for every Customer and do not replace the Customer’s infrastructure security responsibilities.
8. Third-Party Services
The Services may integrate with or link to third-party services, applications, data sources or websites that Data Tiles does not operate or control.
Data Tiles does not endorse and is not responsible for the availability, security or practices of third-party services. Your use of them is governed by their own terms and policies.
9. Support
Any support services, response times or service-level commitments are those set out in an Applicable Agreement. These Terms do not themselves provide a service-level commitment.
Customer infrastructure incidents and operational response are the Customer’s responsibility. Data Tiles maintains its own internal security policies.
10. Suspension and Termination
Data Tiles may suspend or restrict access to the Services where you breach these Terms or the Acceptable Use Policy, or where reasonably necessary to protect the security, integrity or operation of the Services, subject to any Applicable Agreement, including its applicable notice and cure provisions, and only through rights and measures available to Data Tiles. This does not imply remote access to, monitoring of or automatic enforcement within customer-controlled deployments.
You may stop using the Services at any time. Termination of a licence or other Applicable Agreement is governed by that agreement.
For customer-hosted software, Customer Data remains in the Customer’s environment when licensing ends. Termination of a software licence does not by itself transfer custody or ownership of that data to Data Tiles or require Data Tiles to export or delete customer-hosted data. Latttice metadata can be exported by the Customer before the application is removed; this does not promise automatic exports, backup recovery or Data Tiles-provided export or deletion services. Any agreed post-termination rights or responsibilities are governed by the Applicable Agreement. Where Data Tiles has separately been authorised to hold or process Customer Data, any return, retention or deletion obligations are governed by the applicable written arrangements and applicable law, including any required Data Processing Agreement.
Suspension or restriction does not itself terminate a customer-hosted licence or bypass any applicable notice and cure requirements. Where the Customer Hosted Software Licence Agreement applies, its thirty (30) day written-notice remedy period for material breach remains applicable to termination, unless the signed Applicable Agreement expressly provides otherwise. No right of remote access to customer-controlled systems or removal of Customer Data is created by these Terms.
11. Limitation of Liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. Nothing in these terms restricts applicable statutory rights that cannot lawfully be waived or limited.
To the maximum extent permitted by law, Data Tiles shall not be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, data, business opportunities or anticipated savings.
Where an Applicable Agreement contains liability terms, those terms apply.
Subject to the liability exceptions above and any liability terms in the Applicable Agreement, Data Tiles’ total aggregate liability shall not exceed the licence fees paid by the Customer during the twelve (12) months preceding the event giving rise to the claim.
12. Changes to These Terms
Data Tiles may update these Terms to reflect changes in the Services, legal requirements or business practices. Where changes are material, we will provide notice through the Services, our website or other appropriate channels.
Changes to these Terms do not alter an Applicable Agreement unless that agreement provides otherwise.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over disputes arising from these Terms, unless an Applicable Agreement provides otherwise.
14. Consumer Rights
If you use the Services as a consumer, nothing in these Terms limits rights you have under applicable law that cannot be waived or limited.
